Terms & Conditions
These terms govern participation in the BushidoPay programme operated by [PLACEHOLDER: registered company name] Ltd (“BushidoPay”, “we”, “us”). By registering or using the platform you agree to these terms. This is a business-to-business service.
1. Definitions
- Tokens — prepaid, fixed-value exchange instruments issued against real inventory or capacity, recorded on the BushidoPay blockchain ledger.
- Face value — the fixed monetary value assigned to a Token at issuance.
- Participant — a business that registers for and takes part in the programme.
2. Nature of Tokens
BushidoPay Tokens are not a cryptocurrency, not a tradeable security, and not a financial instrument or e-money product. They are prepaid exchange instruments backed by real inventory or capacity, carry a fixed face value, and are never intended as speculative or investment assets.
3. Token issuance
Tokens are issued against inventory or capacity you agree with us in advance, at an agreed face value. Issuance is recorded on the ledger and subject to controls that prevent over-issuance.
4. HMRC treatment
Tokens are intended to be recognised at face value under our operating model and secured against repurchased inventory. This is a general description and not tax advice; participants remain responsible for their own tax position and should take independent advice.
5. Advertising campaigns
Campaigns are delivered through the i-media network and other partners. Campaign delivery, content standards and scheduling are subject to i-media’s own terms and conditions. You are responsible for the content and legality of messaging you supply.
6. Charitable donation
Where the service is provided at no cash cost, participation may require an optional charitable donation of 10p per booking, or as otherwise agreed. Where the Donation Doubler is activated, matched contributions are provided as described on our Donation Doubler page.
7. Redemption
Purchased Tokens may be redeemed with participating merchants, applied to campaigns, or — where unused after twelve months and where inventory acquisition is required — redeemed under the buy-back route at a figure above original cost, as described at the point of purchase. Specific redemption terms are set out in your participation agreement.
8. Liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our total liability arising out of or in connection with the programme is limited to [PLACEHOLDER: liability cap]. We are not liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
9. Changes
We may update these terms from time to time. Material changes will be notified to registered participants.
10. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
